Sherry M. Ruiz is a senior paralegal in the corporate and real estate practice areas in the Toledo office of Shumaker, Loop & Kendrick, LLP. Sherry facilitates due diligence and closings for multi-million dollar transactions; assists with mergers and acquisitions, financial work-outs and restructuring; and assists in commercial and residential real estate development. Sherry has a high level of business client contact and service; she participates in proceedings challenging the real estate tax valuation of property and tax exemption appeals; participates in and prepares for hearings before Plan Commission, Zoning Commission and legislative bodies. Sherry prepares and files applications for parcel splits; prepares a variety of documents related to real estate transactions, commercial loan financing, and construction loan financing; consults with title companies and survey firms; reviews title commitments, title endorsements, surveys and phase one environmental site assessments. She also prepares purchase and sale agreements; summarizes and prepares leases; attends and assists with closings; prepares UCC financing statements, amendments and termination statements; coordinates recording and filing of documents in state and local offices; conducts public record searches; facilitates details of closing transactions with various parties to ensure documents are organized, complete and accurate; reviews loan documents; prepares corporate filings, resolutions and certificates. Additionally, Sherry maintains corporate minute books; obtains tax identification numbers for corporate clients; coordinates with law firms in management of bankruptcy proceedings in connection with the sale of real estate and related matters; tracks pertinent dates in connection with transactions; assists with training of new associates and completes all assignments as required.
Sherry has experience in both private practice and the corporate sector, reporting directly to General Counsel.
