He has extensive experience representing both buyers and sellers of private businesses, and has advised clients with respect to the formation, capitalization and governance of multiple complex joint ventures. Additionally, Nick has substantial experience in:

His practice also includes general commercial transactions, contract negotiations, liquor law, securities law, and representation of health systems, health system business units and other tax-exempt organizations.

With nearly 15 years of experience, Nick enjoys giving back to Toledo, the city where he was born and raised, by collaborating and working with local clients.

Representative Matters

  • Formation and wind-down of multiple $100+ million joint ventures among a healt care property focused real estate investment trust and various facility operators, developers, health systems, and physicians’ groups.
  • $112 million secured loan facility between a national banking association and health care property joint venture.
  • Assumption and renegotiation of in excess of $750 million in secured debt in connection with acquisition of a publicly-traded seniors housing operator.
  • $5 million sale of privately-held industrial cleaning, emergency response and waste transfer and disposal concern.
  • Formation and capitalization of multimillion dollar technology investment fund, including investments from public and private-sector tax exempt organizations and unsecured governmental agency financing.
